About the role and what you’ll be doing: 

Ensono’s Corporate Legal team has opened a position for a Corporate Counsel. This position is responsible for providing legal support and guidance to many of the function areas of the business. This position requires broad exposure to corporate legal matters and for maintaining operations required by law. This role reports to the Associate General Counsel – Corporate. We are looking for a talented individual with initiative and drive, with great attention to detail and ability to follow through.

Primary Responsibilities:

·       Work with the guidance of the Associate General Counsel – Corporate, providing legal counsel in support of tactical and strategic business initiatives.

·       Effectively handle assigned legal activities for various business units, functions or legal practice areas (including HR, Immigration, Finance, Tax, IT and other corporate functions).

·       Structure, draft, review and execute key corporate documents.

·       Assist in drafting, coordinating and managing all activities supporting Ensono’s Board of Directors.

·       Support and assist all corporate transactions (including mergers and acquisitions) and integrate activities.

·       Assist on trademark and patent related workstreams

·       Research, understand and evaluate different risk factors regarding business decisions and operations.

·       Develop and modify practices, policies and procedures to conform with business requirements and maintain compliance with applicable laws and regulations.

·       Remain current of laws and regulations and emerging legal risks. Work with legal counsel globally to remain abreast of regulatory requirements

·       Ensure adherence to all company policies and procedures.

·       Assist with planning and maintaining records relating to corporate matters

·       General support for the department including engaging legal counsels as appropriate and processing payments.

·       Perform other duties as assigned.

What You Will Need:

  •  Understanding of corporate legal principles, concepts, practices, and standards.

  • Excellent interpersonal skills and ability to communicate effectively both orally and in writing with employees and external contacts (including outside counsel).

  • Ability to work well under constantly changing deadlines and priorities in a fast-paced environment.

  • Critical analysis skills related to identifying and solving problems in a busy corporate environment.

  • Experience working with and training non-legal colleagues.

  • Experience driving continuous improvement in processes and performance

  • .Excellent attention to detail.

  • Strong organizational and time-management skills.

  • Ability to perform complex tasks with minimal direction and/or supervision.

  • Self-starting and solutions-oriented team player.

  • Maintains composure during tight deadlines.

  • Ability to manage multiple tasks simultaneously.

Requirements:

  • Law graduate (LLB/LLM)

  • 2-3 years’ proven experience in a related field (prior experience reviewing contracting, entity management work, mergers and acquisition/private equity experience in a corporate legal department a plus)

  • Experience at a large law firm (plus) / or as in-house counsel required
